TERMS OF SERVICE / ALLGEMEINE

1. Scope / Geltungsbereich
1.1 These Terms of Service (the “Terms”) govern all purchases made through the online shop at https://panolina.com (the “Shop”) operated by:

1.2 These Terms apply to all users of the Shop, in particular to consumers (Verbraucher) and entrepreneurs (Unternehmer) within the meaning of applicable law. For consumers, mandatory statutory rights (in particular warranty rights and the right of withdrawal) remain unaffected.
1.3 These Terms, together with our Privacy Policy, Imprint (Impressum), Withdrawal Policy (Widerrufsbelehrung) and any additional policies referenced herein, form the entire agreement between you and Panolina regarding your use of the Shop and purchases made through it.
2. Conclusion of Contract / Vertragsschluss
2.1 The presentation of products in the Shop constitutes an invitation to place an order. By clicking the button “Order with obligation to pay” (or similar unambiguous wording), you submit a binding offer to purchase the selected products.
2.2 We will confirm receipt of your order immediately by email (order confirmation). This confirmation does not yet constitute acceptance of your offer.
2.3 A purchase contract is concluded only when we send you a separate order acceptance (by email) or when we ship the goods, whichever occurs first.
2.4 We reserve the right to reject orders, in particular in case of obvious pricing errors, stock unavailability, or suspected abuse (e.g. reseller activity where prohibited).
3. Prices, Payment, Shipping / Preise, Zahlung, Versand
3.1 All prices stated in the Shop include statutory value added tax (VAT) and are shown in EUR / USD. Shipping costs, if any, are displayed separately before you submit your order and in the order confirmation.
3.2 We comply with applicable price indication rules, including the EU Omnibus Directive (Directive (EU) 2019/2161). Where we announce price reductions (e.g. discounts, “% off”), the displayed reference price is the lowest price we applied to that product during the 30 days prior to the reduction, unless otherwise stated where legally permitted.
3.3 Payment methods available are listed at checkout. All payments are processed via secure third‑party providers. Additional terms of the payment providers may apply.
3.4 Delivery times and shipping costs are indicated on the product pages and/or at checkout. Unless otherwise stated, we deliver within USA, Canada, EU.
4. Right of Withdrawal / Widerrufsrecht (for consumers)
4.1 If you are a consumer, you generally have the legal right to withdraw from this contract within 14 days without giving any reason.
4.2 Detailed information about your right of withdrawal, including the model withdrawal form (Muster‑Widerrufsformular), instructions on how to exercise it, and the consequences of withdrawal, is set out in our separate Withdrawal Policy (Widerrufsbelehrung), which forms part of these Terms.
4.3 For customers in Germany, we provide a digital withdrawal button (Widerrufsbutton) that allows you to submit your withdrawal directly via the Shop in accordance with § 356a BGB (effective from 19 June 2026). Use of this button is optional; you may also withdraw by other means described in the Withdrawal Policy.
5. Warranty / Statutory Rights / Gewährleistung
5.1 For consumers, statutory warranty rights (Gewährleistung) apply without restriction. In particular, you have the right to demand repair, replacement, price reduction or rescission in case of defects, subject to statutory conditions.
5.2 For entrepreneurs, claims for defects are limited to the statutory minimum, unless otherwise agreed in writing.
5.3 Nothing in these Terms excludes or limits liability for:

Death or personal injury caused by negligence

Gross negligence or intentional misconduct

Breach of essential contractual obligations (Kardinalpflichten)

Any other liability that cannot be excluded or limited under applicable law.
6. User Conduct / Nutzungsbedingungen
6.1 You agree to use the Shop only for lawful purposes and in compliance with all applicable laws and regulations.
6.2 You must not:

Use the Shop to transmit viruses, malware or any destructive code

Attempt to gain unauthorized access to the Shop or its systems

Harass, defame, discriminate against or harm others

Infringe any intellectual property or other rights of Panolina or third parties

Use automated tools (scraping, crawling, etc.) without our prior written consent.
6.3 We may suspend or terminate access to the Shop if you breach these Terms or engage in unlawful or abusive conduct.
7. Intellectual Property / Geistiges Eigentum
7.1 All content on the Shop (including text, images, logos, designs, software) is owned by or licensed to Panolina and is protected by copyright and other intellectual property laws.
7.2 You may not reproduce, distribute, modify, or exploit any content from the Shop without our prior written permission, except as expressly permitted by law.
8. Third‑Party Links and Tools / Drittangebote
8.1 The Shop may contain links to third‑party websites or integrate third‑party tools (e.g. payment providers, analytics, marketing tools). We do not control and are not responsible for the content, privacy practices or terms of such third parties.
8.2 Your use of third‑party tools is at your own risk and subject to their own terms and policies.
9. Changes to These Terms / Änderungen dieser AGB
9.1 We may update these Terms from time to time to reflect changes in our business, legal requirements or the functionality of the Shop.
9.2 Updated Terms will be posted on this page with a revised “Last updated” date. For material changes that affect existing customers, we will inform you by email or via a prominent notice in the Shop before the changes take effect.
9.3 Changes apply to orders placed after the updated Terms become effective. Your continued use of the Shop after that date constitutes acceptance of the updated Terms.
10. Governing Law and Dispute Resolution / Anwendbares Recht, Streitbeilegung
10.1 These Terms are governed by the laws of Germany, without regard to conflict‑of‑law rules that would lead to the application of another law.
10.2 For consumers, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of the country in which you have your habitual residence.
10.3 If you are a consumer, courts in your place of residence generally have jurisdiction over disputes. For entrepreneurs, the exclusive place of jurisdiction is München (Munich), Germany, unless mandatory law provides otherwise.
10.4 We participate in no binding dispute resolution procedure before a consumer arbitration board (Verbraucherschlichtungsstelle). However, the EU platform for online dispute resolution is available at: https://ec.europa.eu/consumers/odr.
